By combining Saraide's robust wireless network infrastructure and global market penetration with InfoSpace's leading innovative, advanced wireless services, InfoSpace is creating the most powerful platform for wireless information and e-commerce services available today on a worldwide basis. These wireless services include personalized content, including address book and calendar; commerce capabilities, including price comparison shopping and purchasing goods; secure transactions, such as transferring funds and checking account balances; communication features, including person-to person, device-independent instant messaging and e-mail and location based services such as nearest ATM. InfoSpace's wireless Internet services are device-independent and provide a platform which enables its wireless carriers to support a variety of emerging protocols such as WAP, PQA's for Palm VII and VXML, in addition to HDML and SMTP. InfoSpace's services are compatible with a variety of gateway technologies including WAP gateways from Nokia, Phone.com and Ericsson. Under the terms of the agreement, InfoSpace will merge Saraide with its own wireless services and will issue 2,397,716 shares of InfoSpace Common Stock to the existing shareholders of Saraide in a transaction to be accounted for as a purchase. InfoSpace will control 80% of the combined company with operations located throughout Europe, Japan, Canada and the United States.
